General Terms and Conditions
I. Scope of Application
- These General Terms and Conditions (GTC) apply to all contracts concerning the booking and participation in seminars, training courses, and other continuing education offerings (hereinafter collectively referred to as “Events”) of the Wodianka Academy (www.wodianka-academy.com) (hereinafter also the “Organizer”). The events may be conducted as e-learning via a learning and training platform, as on-site presence trainings, or as live online trainings with an instructor.
- Deviating, conflicting, or supplementary general terms and conditions of customers or third parties do not become part of the contract unless Wodianka Academy expressly agrees to their validity in writing.
- The GTC apply both to consumers within the meaning of § 13 BGB (German Civil Code) and to entrepreneurs within the meaning of § 14 BGB, unless a differentiation is expressly made.
- By booking an event, the customer acknowledges the validity of these GTC in the version applicable at the time of booking.
II. Scope of Services and Changes
- Wodianka Academy offers the following types of events:
- a) E-learning courses (asynchronous online courses) These are provided via an e-learning platform and can be used flexibly in terms of time and location. Participation requires an internet connection. Upon booking, the customer receives access to the learning content for a specified duration. There is no entitlement to personal support or live contact with the instructors unless explicitly stated in the course description.
- b) Online seminars with live instructor (synchronous) These take place at fixed dates via a video conferencing platform (e.g., Zoom, MS Teams). Participation requires an internet connection and, if applicable, a camera and microphone. Access data and technical instructions will be provided before the event starts. Customers are obligated to ensure that their technology functions properly in a timely manner. Upon booking, the customer receives access to the learning content for a specified duration.
- c) On-site seminars These take place on the specified dates and at the designated event location. Travel, accommodation, and meals must be organized and borne by the customers themselves, unless otherwise agreed. Upon booking, the customer receives access to the learning content for a specified duration.
For all booking types, these GTC apply unless expressly deviating provisions are listed in the event description.
- Wodianka Academy reserves the right to make minor changes to announced content to ensure up-to-dateness or to replace instructors, as long as the overall character of the event is not materially changed. Participants will be informed of such changes in a timely manner whenever possible.
III. Conclusion of Contract
- The presentation of the events on our website does not constitute a legally binding offer but merely an invitation to place an order (invitatio ad offerendum).
- By clicking the “Book now with payment” button in the last step of the ordering process, you submit a binding offer to purchase or book the event shown in the order overview. Immediately after submitting the order, you will receive an order confirmation, which does not yet constitute acceptance of your contractual offer. A contract between you and us is concluded as soon as we accept your order and/or booking by a separate e-mail.
Please check your email spam folder regularly.
IV. Storage of Contract Text
The contractual terms, including details of the booked services, these GTC, and the cancellation policy, will be sent to you by e-mail upon acceptance of the contract offer or notification thereof. We do not store the contractual terms ourselves.
V. Event Materials – Terms of Use and Restrictions
All training materials provided within the scope of the event – including but not limited to presentations (e.g., PowerPoint slides), handouts, guides, or other didactic materials – remain the sole intellectual property of Wodianka Academy. Even if provided free of charge, these materials are protected by copyright. Reproduction, distribution, publication, or any other use beyond the agreed training purpose is only permitted with prior written consent from Wodianka Academy. The materials must be marked accordingly as copyrighted.
VI. Participation Requirements
Certain events may have special professional or technical prerequisites, which are listed in the event description. It is the responsibility of participants to ensure they meet these requirements. If these requirements are not met, there is no entitlement to a refund of the participation fee.
VII. Cancellation / Rebooking by the Organizer
Wodianka Academy reserves the right to cancel or postpone events for important reasons (e.g., illness of the instructor, failure to reach the specified minimum number of participants, force majeure). In this case, participants will be rebooked to another event or any fees already paid will be fully refunded. Further claims are excluded unless the organizer or its agents are liable for intent or gross negligence regarding the reason for cancellation.
VIII. Cancellation / Rebooking by the Participant
Cancellation is free of charge up to 14 days before the start of the event. After that, a cancellation fee of 50% of the participation fee applies. In case of no-show without prior cancellation, the full fee will be charged. Rebooking to another event is possible after prior agreement, provided places are available. It is also possible to rebook free of charge to another participant. To meet the deadline, the cancellation must be received by Wodianka Academy in writing.
IX. Prices
Unless otherwise stated, all prices quoted by us are net prices plus the applicable statutory value-added tax. For orders by consumers (§ 13 BGB), VAT is shown separately on the invoice.
X. Payment Terms
The participation fee is due immediately upon booking the event. Payment is made via the payment methods offered on the website.
XI. Right of Withdrawal
- If the customer is a consumer (§ 13 BGB), they have a right of withdrawal according to the statutory provisions. A consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor self-employed professional activity.
- A right of withdrawal does not exist for purchase contracts concerning documents/materials specifically tailored to your personal needs. The same applies to trainings specifically tailored to your company.
- For contracts for the purchase/access of digital content (§ 327 para. 2 sentence 1 BGB) that are not provided on a physical data carrier, the right of withdrawal expires if the consumer has explicitly agreed before contract execution that the provider begins performance before the withdrawal period expires and has confirmed knowledge that by consenting, they lose the right of withdrawal once performance begins.
- Otherwise, the regulations for the right of withdrawal are those detailed in the following
